Background
Founded in 2005, Preqin Solutions (f.k.a. Baxon Solutions) is one of the world’s leading providers of cloud-based portfolio management software for the private equity industry.
Under the direction of Chris Ferguson, Preqin Solutions has doubled revenue since 2016 while improving margins. Preqin Solutions services a global customer base with offices in London, New York, Singapore, Buenos Aires, and Hong Kong. In the fall of 2018 Preqin made the strategic decision that the Solutions business would benefit from partnering with a broader software solutions provider.
Preqin hired M&A to divest the Preqin Solutions business. M&A is intimately familiar with the portfolio management space, having completed a number of recent transactions in the broader data management & analytics space. The M&A team leveraged its expertise to effectively articulate the strong value proposition of Preqin Solutions and position the company in front of the most interested parties in the space.
Following a thorough review of potential options, Preqin decided to accept an offer from Dynamo Software, a portfolio company of Francisco Partners. From the start, both management teams were excited about the opportunities presented by the combination of Preqin’s leading data and technology and Dynamo’s CRM platform that services a global clientele.
Marlin & Associates acted as exclusive strategic and financial advisor to Preqin on its divestiture of Preqin Solutions to Dynamo Software. M&A leveraged its deep domain expertise in portfolio management software and data and analytics, to run a fast, methodical, and disciplined competitive process with multiple potential partners.
M&A worked with Management to craft materials and identify a targeted list of highly qualified potential partners. The M&A team then managed a competitive process that resulted in indications of interest and meetings with several buyers.
M&A helped Preqin management evaluate the offers, negotiate terms, manage the due diligence review process, and close a transaction with Dynamo Software.
