has acquired the Business Process Management business from
Palo Alto, CA


Background

In Q2 2015, M&A met with Intalio, Inc., a fast-growing, innovative business process management (“BPM”) provider based in Palo Alto, California. Intalio’s stakeholders desired liquidity and were driving management towards a sale process without the help of an outside advisor. They invited M&A to bring a buyer into the process.

M&A quickly recognized the strong potential strategic fit between Intalio’s BPM business and that of Everteam, a Lyon, France-based provider of enterprise content management (“ECM”) solutions that M&A has known for several years. M&A knew that Everteam was searching for the right vehicle to help penetrate the U.S. market.  Shortly after discussing the opportunity with Bechara Wakim, the founder and CEO of Everteam, M&A was appointed to advise Everteam on the acquisition of Intalio.



As Everteam’s exclusive strategic and financial advisor, M&A helped Everteam to better understand Intalio’s business, market opportunity, strengths and weaknesses, value the company and communicate with the Intalio Board of directors. After many phone calls, emails and in-person meetings, M&A assisted Everteam in structuring, communicating and negotiating a non-binding proposal for Everteam to acquire the Business Process Management business from Intalio. Once the proposal was accepted, M&A worked with Everteam to assist in the management of confirmatory due diligence reviews and the negotiation of definitive agreements.

M&A acted as exclusive strategic and financial advisor to the shareholders and management of Everteam. M&A worked to initiate discussions, value the company, help negotiate the letter of intent, assist in due diligence reviews, find creative solutions and forge agreements to resolve challenges, coordinate the drafting of purchase agreements and facilitate the closing of the transaction.

Paris, France, and Boston, USA, September 30, 2015 – Everteam, a leading enterprise content management (“ECM”) company with distribution in France and the Middle East, is pleased to announce that it has completed the acquisition of Intalio, the developers of Intalio|bpms, a leading business process management (“BPM”) solution with distribution in the United States, Europe, and Asia.

The acquisition, which formally closed earlier this month, includes the sales, marketing, support and development infrastructure within Intalio. As part of the acquisition, the company has expanded its base of operations in Boston, Massachusetts.

The newly combined entity has over 300 employees and will operate worldwide with offices in the United States, France, Lebanon, and Singapore.
